Machiel Galjaart

Experience

Machiel specialises in public and private mergers & acquisitions, private equity, joint ventures, restructurings, equity capital markets, corporate governance and general corporate advice. In addition, he has particular experience in cross border structuring, including setting up and reorganising international holding structures, cross border mergers and demergers, cross border conversions and transfers of seat. Machiel also advises investment funds and their managers on the establishment and reorganisation of investment funds, (co-)investment vehicles, club deals and joint ventures and on fund raisings, as well as institutional investors on their investments therein.


Machiel’s clients include national and international listed and privately held companies, financial institutions, energy and utility companies, private equity houses, investment funds and their managers, as well as institutional investors.

Transactions of significance where substantial involvement can be disclosed include:

  • advising Aterian Investment Partners on the combination of U.S. Zinc and EverZinc, two of the largest global producers of zinc chemical products, to form the pre-eminent global zinc chemistry business
  • advising Vitruvian Partners LLP on its acquisition of Fotona, a leading medical laser focused EBD company, from AGIC Capital
  • advising Apeiron Investment Group (as lead of the group of major shareholders) on the sale of 100% of the shares in the capital of Bitfield N.V., a miner of crypto currencies headquartered in the Netherlands, to Northern Data AG, listed on the Frankfurt stock exchange
  • advising Waterland Private Equity on the acquisition of Van Wanrooij Warenhuys, a (re)seller and installer of kitchens, sanitary and tiles
  • advising Triton Partners on the acquisition of the tour operating activities of the Corendon Holiday Group through its portfolio company Sunweb Group
  • advising Triton Partners on the acquisition of the Sunweb Group, a leading European online tour operator specialised in packaged snow and sun holidays
  • advising Vivoryon Therapeutics N.V., listed on Euronext Amsterdam, on its cross border conversion from a German AG into a Dutch N.V., ongoing corporate governance matters, organisations of its general meetings and a private placement of shares.
  • advising PAI private equity on the acquisition of CRH’s shutters & awnings and garage doors business through its portfolio company Stellagroup
  • advising Waterland Private Equity on the acquisition of EuroParcs, a developer and manager of upmarket holiday resorts
  • advising Korian, European leader in care and support services for the elderly, listed at Euronext Paris, on its acquisitions of Rosorum care group, various elderly care homes from Ontzorgd Wonen, Het Gouden Hart and Stepping Stones and subsequent corporate reorganisations
  • advising the lenders in respect of the EUR 6.8bln acquisition financing for the acquisition by The Carlyle Group and GIC of the specialty chemicals division of AkzoNobel
  • advising Rivean Capital (formerly named: Gilde Buy-Out Partners) on its acquisition of De Kinkelder group, a producer of high quality circular saw blades for the industrial market
  • advising Rivean Capital (formerly named: Gilde Buy-Out Partners) on the acquisition of Elcee Group, a supplier of customised industrial parts and components for global business to business markets
  • advising Shell, Evonik and HPE Growth Capital on their participation in the series C, D1 and D2 investment rounds in respect of Strohm (formerly named: Airborne Oil & Gas), a leading manufacturer of Thermoplastic Composite Pipe (TCP) for oil & gas applications
  • advising Capital A (formerly named: ABN AMRO Participations) on the acquisition of PCI Holding, a leading document solutions supplier
  • advising Carlyle Asia Partners on the divestment of its participation in Ta Chong Bank in Taiwan and the repatriation of exit proceeds
  • advising media conglomerate Vivendi on the acquisition of a 64.4 % stake in Radionomy, a major global player in digital radio
  • advising Andlinger, a Belgian private equity party, on its successful friendly public offer for specialty paper producer Crown Van Gelder N.V., listed on Euronext Amsterdam, the subsequent delisting and squeeze out of minority shareholders
  • advising ORIX Corporation on its acquisition from Rabobank of 90% plus one share in asset manager Robeco, including a pre-closing carve out and transfer to Rabobank of the regulated bank Robeco Direct
  • advising Deutsche Börse on its proposed merger with NYSE Euronext, including its contemplated listings in Frankfurt, New York and Paris and on governance arrangements
  • advising British Petroleum on the cross-border reorganisation of its European downstream business and the formation of BP Europa SE by cross-border merger
  • advising The Royal Bank of Scotland on the restructuring and break up of ABN AMRO, including the statutory demerger and subsequent transfer to the State of the Netherlands of ABN AMRO’s Dutch operations
  • advising The Royal Bank of Scotland, leader of a consortium of banks (The Royal Bank of Scotland, Fortis and Santander), on its successful €71.1bn takeover bid for ABN AMRO Bank
